1Returns & term

What return can I expect?
NXO works with fixed interest rates based on your investment amount: from €125,000 you receive 9% per year, from €250,000 that is 9.5%, and from €500,000 that is 10%. The rate is always stated in black and white in the Information Memorandum per project. Investing involves risks; the stated return is not a guarantee.
How is the return structured?
You receive a fixed annual interest rate on your investment, depending on your entry amount: €125k+ → 9% p.a., €250k+ → 9.5% p.a., €500k+ → 10% p.a. Interest is paid out automatically every quarter. There is no profit sharing or variable component — what you see is what you get.
What is the term of a project?
It depends on the project type. Transformation (buy-to-sell) runs on average 12–18 months, buy-to-hold on average 36–60 months. The term is always stated per project.
When do I receive my interest?
The fixed interest is paid automatically every quarter into your NXO Wallet — on the first day of each new quarter. Reinvest or withdraw, you decide.
Do I receive interest if the project is not yet fully funded?
Yes. Interest accrues and your securities are in place from day one, regardless of funding status. Payouts start automatically, even if the project is not yet 100% funded.
Which projects has NXO already successfully completed?
You can find an overview of all completed projects including realised returns on our track record page. We work exclusively with proven locations in Spain — urban, with structural demand.
How is the value of the real estate determined at exit?
On sale or refinancing, the value is determined based on an independent appraisal, supplemented by market comparables from the region. We do not use our own estimates as the exit value.

2Structure & terminology

What is a bond at NXO?
A loan you provide to NXO Issuer (B.V.). You receive fixed interest during the term and your principal back on the maturity date.
What is NXO Issuer?
The Dutch entity that issues the bonds. Your money flows through NXO Issuer as an intercompany loan into the Spanish project companies.
What is an SPV?
A Special Purpose Vehicle: a separate Spanish company (S.L.) per project. Each project is legally and financially ring-fenced, so problems in one project don't affect another — cross-default is structurally excluded.
How do funds flow within NXO?
Investor → buys bond → NXO Issuer receives the money → forwards it as a loan to the project SPV → the SPV buys and develops the real estate → on sale or operation the money flows back → NXO Issuer pays out interest + principal to you.
Am I investing in a fund?
No. Every project is its own entity with its own securities, terms and duration. You invest per project, not in a pooled fund.

3Securities & protection

How am I protected as an investor?
Through a security structure that is established per project before you invest, managed by an independent Bondholders' Interests Foundation (SOB). Depending on the project it consists of a combination of: a first-rank mortgage on the real estate, a pledge on the project SPV's shares, a pledge on the intercompany loan, and a pledge on rental and sale proceeds.
What does the Security Agent (SOB) do?
The independent Bondholders' Interests Foundation holds the securities — including the mortgage right — on behalf of all investors at once (CoC 53177770). In case of default, SOB acts independently and distributes the proceeds pro rata among bondholders. You don't have to arrange anything yourself.
What is the parallel debt and why does it matter?
SOB holds its own independent claim on NXO Issuer, equal to the bond debt. This lets SOB establish and enforce the mortgage right without the consent of each individual investor. Without it, 25 investors would each need their own mortgage and notarial deed, and all 25 would have to agree on enforcement — unworkable.
What happens if NXO Capital goes bankrupt?
The Bondholders' Interests Foundation is legally fully separate from NXO Capital. In a bankruptcy, the foundation can act independently and enforce the established securities on behalf of investors.
Where is my money before the project is funded?
In a segregated, PSD2-certified escrow account at Online Payment Platform (OPS, DNB R124325). Your money is held safely until the project or construction phase is fully funded; only then is it released.

4Risk management

How are construction costs controlled?
Contractors work on a fixed contract sum (lump-sum/turn-key). Cost overruns are their risk, not the investor's.
How do I know the money is well spent?
With the construction-deposit system, money isn't transferred upfront. Payments are released in tranches based on completed construction phases, verified before payout.
Who does NXO work with, and are there guarantees?
NXO works exclusively with contractors who have demonstrable experience in the specific region and project type. Contractor agreements include penalty clauses for delays and guarantees on delivered quality.
Who monitors the projects?
NXO has 360° project supervision in-house, supported by fixed architects and technical advisors. Progress, quality and delivery are not outsourced to third parties.
Are setbacks accounted for?
Yes. Every project has a fixed contingency (typically 5–10% of the construction sum) built into the budget. Return calculations are based on the base scenario including this buffer.
What are the risks of investing with NXO Capital?
Investing involves risks, including the risk of partial or total loss of your investment. Real estate carries specific risks such as market-value decline, construction delays and exit risk. Always read the project documentation before investing.

5Account & process

How does it work, from introduction to returns?
In four steps: (1) a personal introduction to see whether there's a match, (2) on a match we create your account, complete verification and set up your NXO Wallet, (3) you choose a project and invest — interest and securities run from day one, and (4) you receive interest automatically every quarter in your wallet.
What is the NXO Wallet?
Your own wallet with its own IBAN. Deposit whenever you like, receive interest automatically every quarter, and see your full portfolio and returns in the dashboard at all times.
Can I invest through a company?
Yes. Investing through a business entity is possible; we carry out a KYB (Know Your Business) screening.
Can I exit early?
Bonds have a fixed term and there is no public secondary market for early exit. However, once a project is completed you can roll your investment directly into a next project.

6Tax & reporting

How is my return taxed?
In the Netherlands, real estate bonds generally fall under Box 3 (wealth tax). You receive an annual overview for your tax return. Consult a tax advisor for your specific situation.
Do I receive an annual overview?
Yes. Each year you receive an overview in your account of your investments, paid returns and outstanding capital.
